Terms of Service

1. Acceptance of Terms

By accessing cadvisor.xyz, downloading the RapidSurf trial, or purchasing a license, you agree to these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our services or software.

These Terms constitute a legally binding agreement between you (either as an individual or on behalf of an entity) and CADvisor Consulting LLC ("CADvisor", "we", "us", or "our").

2. Services Provided

CADvisor Consulting LLC provides the following services:

• RapidSurf Software: Professional surface modeling software for engineering and design applications
• CAD Consulting Services: Expert consultation on computer-aided design, NURBS mathematics, and geometric modeling
• Custom Development: Tailored CAD software development and integration services
• Technical Support: Support services for licensed RapidSurf users

Trial versions of RapidSurf are provided free of charge for 30 days, hardware-bound, and include full functionality for evaluation purposes only.

3. License Grant

3.1 Trial License

The 30-day trial license grants you a temporary, non-exclusive, non-transferable right to use RapidSurf for evaluation purposes only. The trial license is:

• Hardware-bound: Tied to the specific machine on which it is first activated
• Time-limited: Valid for 30 days from first activation
• Non-transferable: Cannot be transferred to another machine or user
• Single-use: Each machine is eligible for one 30-day trial only

3.2 Commercial License

Upon purchase of a full commercial license, we grant you a perpetual, non-exclusive, non-transferable license to use RapidSurf for one user on one designated machine. The commercial license permits:

• Use of RapidSurf for commercial and professional purposes
• Creation of derivative works using RapidSurf (e.g., CAD models, surface designs)
• Technical support and software updates as specified in your license agreement

3.3 Restrictions

You may NOT:

• Copy, duplicate, or redistribute the RapidSurf software
• Modify, reverse-engineer, decompile, or disassemble the software
• Remove or alter any copyright, trademark, or proprietary notices
• Use the software for illegal purposes or in violation of intellectual property rights
• Transfer or sublicense your rights to use the software to any third party
• Attempt to circumvent or bypass the license protection mechanisms

4. Payments and Pricing

Commercial licenses for RapidSurf are available for a one-time perpetual license fee. Pricing information is available upon request by contacting cadvisorconsulting@gmail.com.

Payments are processed through secure third-party payment processors (e.g., Stripe, PayPal). All fees are in U.S. Dollars (USD) unless otherwise specified.

5. User Conduct

You agree to use our services and software in compliance with all applicable laws and regulations. You must not:

• Use RapidSurf or our services for any unlawful purpose
• Violate any intellectual property rights, including copyrights, trademarks, or patents
• Attempt to gain unauthorized access to our systems or other users' accounts
• Distribute malware, viruses, or other harmful code through our services
• Engage in any activity that disrupts or interferes with our services

Violations of these conduct rules may result in immediate termination of your license and access to our services without refund.

6. Intellectual Property Rights

All content, software, code, designs, graphics, and materials provided by CADvisor Consulting LLC, including RapidSurf, are owned by CADvisor Consulting LLC and protected by United States and international copyright, trademark, and intellectual property laws.

Your use of RapidSurf does not transfer any ownership rights to you. You are granted only the limited license rights specified in Section 3 of these Terms.

RapidSurf™ is a trademark of CADvisor Consulting LLC. You may not use our trademarks without prior written permission.

7. Disclaimers and Warranties

7.1 "As Is" Provision

RapidSurf and our services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:

• Warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy, reliability, or completeness of results
• Uninterrupted or error-free operation

7.2 Limitation of Liability

To the maximum extent permitted by law, CADvisor Consulting LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or business opportunities
• Loss of data or work product
• Cost of procurement of substitute services
• Business interruption or system failure

In no event shall our total liability to you exceed the amount you paid for your RapidSurf license, if any. For trial users, our liability shall not exceed fifty U.S. dollars ($50.00).

7.3 User Responsibility

You are solely responsible for:

• Verifying that RapidSurf meets your specific requirements during the trial period
• Maintaining backups of your work and data
• Ensuring compatibility with your hardware and operating system
• Compliance with all applicable laws and regulations in your use of the software

8. Termination

8.1 Termination by CADvisor

We reserve the right to terminate or suspend your access to RapidSurf and our services immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms of Service
• Violation of intellectual property rights
• Fraudulent or illegal activity
• Non-payment of license fees

Upon termination, no refunds will be provided.

8.2 Termination by User

You may stop using RapidSurf and our services at any time. Upon cessation of use, you must:

• Uninstall all copies of RapidSurf from your systems
• Destroy any downloaded installation files
• Cease all use of our trademarks and proprietary materials

8.3 Effect of Termination

Upon termination of your license for any reason:

• All rights granted to you under these Terms immediately cease
• You must discontinue all use of RapidSurf
• Sections 6, 7, 8.3, 9, and 10 shall survive termination

9. Governing Law and Dispute Resolution

9.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, United States of America, without regard to its conflict of law provisions.

9.2 Dispute Resolution

Any disputes arising out of or relating to these Terms or your use of RapidSurf shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association.

Arbitration shall take place in Oakland, Michigan. You agree to waive any right to a jury trial or to participate in a class action lawsuit.

9.3 Exceptions

Notwithstanding the above, either party may seek injunctive or equitable relief in court for matters relating to intellectual property infringement, unauthorized access, or breach of confidentiality obligations.

10. Changes to Terms

We reserve the right to modify or update these Terms of Service at any time. Changes will be effective immediately upon posting the revised Terms on our website with an updated "Effective Date."

Your continued use of RapidSurf or our services after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

For significant changes, we will make reasonable efforts to notify you via email or through in-application notifications.

11. Miscellaneous

11.1 Entire Agreement

These Terms, together with any applicable license agreements and privacy policy, constitute the entire agreement between you and CADvisor Consulting LLC regarding your use of RapidSurf and our services.

11.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

11.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

11.4 Assignment

You may not assign or transfer these Terms or your license rights without our prior written consent. We may assign or transfer our rights and obligations under these Terms without restriction.

11.5 Export Compliance

RapidSurf may be subject to U.S. export control laws. You agree to comply with all applicable export and import laws and regulations in your use of the software.
